Important Legal Agreement — Please read this agreement carefully before registering a domain name. By registering a domain name through OrbitFour, you agree to be bound by these terms and all applicable ICANN policies.
1. Agreement Overview
This Domain Registration Agreement ("Agreement") is a binding contract between you ("Registered Name Holder," "Registrant," or "you") and Vianames LLC, d/b/a OrbitFour ("OrbitFour," "Registrar," "we," or "us"), a Michigan limited liability company.
This Agreement governs all domain name registrations, renewals, transfers, and related services provided by OrbitFour, including DNS management, privacy services, and other domain-related services.
The term "you" refers to yourself and any person or entity on whose behalf you are acting. By registering a domain name, you also agree to be bound by the terms of this Agreement for:
- Transactions entered into by anyone acting as your agent
- Transactions entered into by anyone who uses your OrbitFour account, whether or not authorized by you
ICANN Accreditation
You acknowledge that OrbitFour is an ICANN-accredited registrar (IANA ID: 3873) and is bound by the ICANN Registrar Accreditation Agreement (RAA). You also acknowledge that OrbitFour maintains agreements with various domain name registries for the top-level domains (TLDs) we support.
2. Registrant Obligations
2.1 Accurate and Reliable Information
By registering a domain name through OrbitFour, you agree to provide accurate, reliable, and up-to-date contact information, including:
- Your full legal name and postal address
- Email address
- Voice telephone number
- Fax number (if available)
- Primary and secondary nameserver information
- Technical and administrative contact details (name, postal address, email, phone, fax if available)
You agree to update this information within seven (7) days of any change. It is your responsibility to maintain current and accurate contact information at all times.
2.2 Material Breach and Cancellation
Important: Material Breach Provisions — The following actions constitute a material breach of this Agreement and may result in the suspension and/or cancellation of your domain name registration:
- Willful provision of inaccurate or unreliable information during registration or at any time thereafter
- Willful failure to update information within seven (7) days of any change
- Failure to respond to OrbitFour inquiries concerning the accuracy of your contact details for more than fifteen (15) days
OrbitFour reserves the right to suspend or cancel domain registrations that are in material breach of this Agreement, in accordance with ICANN policies and applicable registry requirements.
2.3 Response to Inquiries
You agree to respond promptly to inquiries from OrbitFour concerning the accuracy or reliability of your contact information. Failure to respond within fifteen (15) days may result in suspension or cancellation of your domain registration.
2.4 Third-Party Use of a Registered Name
If you license the use of a Registered Name registered through OrbitFour to a third party, you remain the Registered Name Holder of record and are responsible for providing your own full contact information and for providing and updating accurate technical and administrative contact information to facilitate timely resolution of any problems arising from the Registered Name. You accept liability for harm caused by wrongful use of the Registered Name unless you promptly disclose the current contact information of the third-party licensee, and the identity of that licensee, to a party providing you with reasonable evidence of actionable harm.
3. Public Availability of Registration Data
3.1 WHOIS and RDAP Publication
You acknowledge and agree that:
- Your contact information may be made publicly available through WHOIS and RDAP (Registration Data Access Protocol) services, as required by ICANN policies and applicable registry agreements.
- Registry operators and ICANN may publish your registration data in accordance with their respective policies and applicable law.
- OrbitFour, registry operators, and ICANN may be required to make your information publicly accessible to comply with legal requirements, ICANN consensus policies, and registry policies.
3.2 Privacy Service
OrbitFour offers an optional privacy service that may redact certain personal contact information from public WHOIS/RDAP responses. Privacy service is subject to additional terms, conditions, and fees. See our Privacy Service Terms for details.
Even with privacy service enabled, your information may be disclosed to third parties in the following circumstances:
- As required by ICANN policies or consensus policies
- In response to legitimate legal processes (subpoenas, court orders, etc.)
- To resolve disputes concerning domain name registrations
- As required by applicable law or regulation
- In compliance with law enforcement requests made through proper channels
3.3 Consent to Data Collection and Use
By registering a domain name, you consent to:
- OrbitFour's collection and use of your registration data
- The publication of your registration data in WHOIS and RDAP databases as required by ICANN and registry policies
- The transfer of your registration data to:
- ICANN and its designated agents
- The domain name registry operator for your TLD
- Law enforcement agencies and government authorities as required by law
- Third parties in compliance with ICANN policies
- OrbitFour's retention of your registration data for the periods required by ICANN policy and applicable law

4. Dispute Resolution
4.1 ICANN Dispute Resolution Policies
You agree to be bound by:
- ICANN's Uniform Domain Name Dispute Resolution Policy (UDRP) — Available at icann.org/udrp
- ICANN's Uniform Rapid Suspension (URS) System — Available at icann.org/urs
- Any other dispute resolution policies applicable to your registered domain name's top-level domain (TLD)
These policies are incorporated into this Agreement by reference.
4.2 Dispute Resolution Proceedings
You acknowledge that:
- Domain name disputes may be resolved through UDRP, URS, or other applicable dispute resolution policies
- You may be required to participate in dispute resolution proceedings
- Failure to respond to dispute proceedings may result in the cancellation or transfer of your domain name
- OrbitFour is not a party to disputes between registrants and third parties, and is not liable for the outcome of such disputes
- You will indemnify and hold OrbitFour harmless for any disputes arising from your domain name registration or use
4.3 Governing Law and Venue
Except for disputes concerning the use of a domain name (which are governed by UDRP, URS, and applicable TLD policies), this Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict-of-laws principles. Subject to the binding arbitration provisions in Section 4.4, any legal action arising from or relating to this Agreement that is not subject to arbitration shall be brought exclusively in the state courts located in Kent County, Michigan, or in the United States District Court for the Western District of Michigan, and you consent to the personal jurisdiction of those courts.
4.4 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND ORBITFOUR TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND IT LIMITS THE REMEDIES AVAILABLE TO YOU.
Except for the Excluded Disputes described below, you and OrbitFour agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the services provided under it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its rules then in effect — the AAA Consumer Arbitration Rules where you are an individual who acquired or used the services primarily for personal, family, or household purposes, or the AAA Commercial Arbitration Rules where you are a business or acquired or used the services primarily for commercial purposes. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
- Informal resolution first. Before initiating arbitration, you agree to first contact us at [email protected] with a written description of the dispute and the relief sought. The parties will attempt in good faith to resolve the dispute for sixty (60) days before either party commences arbitration.
- Arbitration procedure. The arbitration will be conducted by a single arbitrator. Unless you and OrbitFour agree otherwise, the seat of arbitration shall be Kent County, Michigan; however, you may elect to have the arbitration conducted by telephone, by video, based solely on written submissions, or in the county of your residence. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
- Excluded Disputes. This Section does not apply to: (a) disputes concerning the registration or use of a domain name that are subject to the UDRP, URS, or applicable TLD dispute-resolution policies; (b) claims that may be brought in small-claims court, so long as they qualify and proceed on an individual basis in that forum; and (c) claims for injunctive or other equitable relief relating to intellectual-property rights, unauthorized access, or misuse of the services.
- Opt-out. You may opt out of this arbitration agreement by sending written notice by certified mail, return receipt requested, to the address in Section 15.1 within thirty (30) days of first accepting this Agreement. Your notice must include your name, your account ID (available under "Manage Account" in your account settings), all email addresses associated with your account, the domain(s) at issue, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of this Agreement.
4.5 Class Action Waiver
YOU AND ORBITFOUR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding. You and OrbitFour waive any right to a jury trial for disputes subject to arbitration. If this Class Action Waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief (and only that one) shall be severed and brought in a court of competent jurisdiction located in Kent County, Michigan; all other claims shall be arbitrated.
5. ICANN and Registry Policies
5.1 Binding Policies
You agree to be bound by:
- The ICANN Registrar Accreditation Agreement (RAA) provisions applicable to registered name holders
- All current and future ICANN Consensus Policies
- All current and future ICANN Temporary Policies and Specifications
- All policies and requirements of the registry operator for your domain's TLD
- All applicable laws and regulations

5.2 Modifications
OrbitFour may modify this Agreement from time to time to comply with:
- ICANN requirements and policies
- Registry operator requirements
- Applicable laws and regulations
- Changes in our business practices or service offerings
We will provide notice of material changes by posting the updated Agreement on our website and/or by email. Your continued use of our services after such changes constitutes acceptance of the modified Agreement.
5.3 Country-Code and Non-ICANN Registry Extensions
OrbitFour offers registrations in some extensions that are not generic top-level domains governed by ICANN, including country-code top-level domains (ccTLDs, such as .ai, .me, .us, .ag, .bz, .lc, .sc, .vc, .mu, .fm, .gg, and .je) and second-level or private-registry products operated by third-party registries (such as .uk.com, .us.com, .eu.com, .br.com, .de.com, .gb.net, and similar). You acknowledge and agree that:
- ICANN consensus policies — including the UDRP, URS, the Transfer Policy, and the Expired Registration Recovery Policy — may not apply, or may apply differently, to these extensions.
- Registrations in these extensions are governed by the applicable registry's own terms, eligibility rules, dispute-resolution procedures, transfer rules, and expiration and redemption timelines, which may differ materially from those described in this Agreement and which are incorporated into this Agreement by reference.
- Where a registry's terms conflict with this Agreement with respect to a registration in that registry's extension, the registry's terms control for that registration.
- It is your responsibility to review the requirements applicable to your chosen extension. A summary of extension-specific requirements and links to the applicable registry policies is available at our TLD Requirements page.
5.4 Eligibility-Restricted Extensions
Certain extensions require you to meet eligibility criteria or to comply with use restrictions established by the registry. By registering or renewing such a name, you represent that you meet the applicable criteria and agree to the applicable registry policies. Examples among the extensions we offer include, without limitation:
- .us — subject to the usTLD Nexus requirements; you must be a U.S. citizen or resident, a U.S. entity or organization, or a foreign entity with a bona fide presence in the United States, and you must certify your Nexus category.
- .nyc — requires a valid physical address within the City of New York.
- .law and .abogado — restricted to licensed legal professionals and subject to verification.
- .gay — subject to the registry's acceptable-use and anti-abuse (including anti-hate) requirements.
- .xxx, .adult, .porn, and .sex — subject to the registry's membership and content policies.
If we or the registry determine that you do not meet the applicable eligibility criteria, your registration may be refused, suspended, or cancelled, and fees are non-refundable as described in Section 10.
6. Third-Party Beneficiaries
You acknowledge and agree that:
- The registry operator for your domain's top-level domain (TLD) is an intended third-party beneficiary of this Agreement
- The Internet Corporation for Assigned Names and Numbers (ICANN) is an intended third-party beneficiary of this Agreement
- These third parties may enforce their rights under this Agreement directly against you
- OrbitFour, the registry operator, and ICANN may avail themselves of any limitations of liability, disclaimers, indemnifications, and other protections set forth in this Agreement
7. Representations and Warranties
You represent and warrant that:
- All information provided by you as part of the registration process is complete, accurate, and reliable
- Each domain name registration is being made in good faith and not for any unlawful purpose
- To the best of your knowledge, the registration and use of your domain name does not and will not infringe upon or conflict with the legal rights of any third party
- Your domain name registration does not violate any third party's trademark, trade name, service mark, or other intellectual property rights
- You will not use your domain name in violation of any applicable laws or regulations
- You have the legal capacity and authority to enter into this Agreement
8. Indemnification
8.1 General Indemnification
You agree to release, defend, indemnify, and hold harmless the following parties from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees):
- OrbitFour and its members, managers, officers, employees, contractors, agents, and affiliates
- The registry operator for your domain's TLD and its directors, officers, employees, agents, and affiliates
- ICANN and its directors, officers, employees, agents, and affiliates
8.2 Specific Indemnified Claims
This indemnification specifically covers claims arising from or relating to:
- Your registration, use, renewal, or transfer of any domain name
- Any content, services, or materials accessible via your domain name
- Any trademark, copyright, patent, or other intellectual property claims related to your domain name
- Any violations of third-party rights resulting from your domain name use
- Your breach of this Agreement or any applicable policy
- Your violation of any law or regulation
- Any dispute resolution proceedings related to your domain name, including UDRP and URS proceedings
9. Registry Operator Rights
You acknowledge and agree that the registry operator for your domain's TLD has the right to:
- Deny, cancel, suspend, transfer, or modify your domain name registration under certain circumstances, including but not limited to:
- Violation of registry policies or requirements
- Violation of applicable laws or regulations
- Court orders, arbitration decisions, or other legal requirements
- Protection of the integrity, stability, and security of the registry
- Compliance with ICANN policies or directives
- Modify, suspend, or terminate registry services in accordance with registry policies and ICANN requirements
- Implement changes to technical requirements, policies, or procedures with appropriate notice
- Place your domain name on registry lock, client hold, or other restrictive status as required by policy or law
OrbitFour is not liable for any registry operator actions taken in accordance with registry policies, ICANN requirements, or applicable law.
10. Fees and Payment
10.1 Payment Obligation
In consideration for domain registration and related services provided by OrbitFour, you agree to pay all applicable fees at the time service is provided. Payment must be made by providing a valid payment method (credit card, debit card, or other accepted payment methods).
10.2 Non-Refundable
All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. Domain name registrations, renewals, and transfers are final upon completion.
10.3 ICANN Fee
ICANN charges a mandatory annual fee (currently $0.20 USD) for each year of domain registration, renewal, or transfer for ICANN-contracted TLDs. This fee is added to your total and collected by OrbitFour on behalf of ICANN.
10.4 Failed Payments
If OrbitFour is unable to charge your payment method with the full amount owed, or if OrbitFour is charged back for any previously collected fee, you agree that OrbitFour may:
- Pursue all available remedies to obtain payment
- Suspend or cancel your domain name registration
- Suspend or terminate your account
- Report delinquent accounts to credit bureaus
11. Domain Name Lifecycle
11.1 Registration Period
Domain names may be registered for periods of one (1) to ten (10) years, depending on the TLD. The registration period you select will be reflected in your order confirmation.
11.2 Renewal
Domain name registrations must be renewed before the expiration date to maintain active status. OrbitFour offers auto-renewal services but does not guarantee renewal of any registration. It is your responsibility to ensure timely renewal of your domain names.

11.3 Grace Period
At OrbitFour's sole discretion, we may allow you to renew your domain name after its expiration date has passed, subject to registry policies and applicable fees. Transfer of your domain following the expiration date may not be permitted during certain periods. See our Domain Lifecycle Policy for details.
11.4 Redemption Period
If your domain name enters the redemption period after expiration, additional fees will apply to restore the domain. See our Redemption Fee Schedule for current pricing.
11.5 No Guarantee of Renewal
OrbitFour does not guarantee the renewal of any domain name registration. Registry operators, ICANN, or OrbitFour may refuse to renew a domain registration for various reasons, including but not limited to policy violations, legal requirements, or technical issues.
11.6 Expiration and Accuracy Notices
For gTLD registrations, and consistent with the ICANN Expired Registration Recovery Policy (ERRP), OrbitFour will send you at least two renewal-reminder notices before a registration expires — approximately one month and approximately one week prior to expiration — and, if an expired registration is deleted, at least one additional notice with instructions for restoring it. Consistent with the Whois Data Reminder Policy (WDRP), OrbitFour will also remind you at least annually to review and correct your registration data. All such notices are sent to the contact address on file, so it is your responsibility to keep your contact information current. The methods we use to deliver these notices are described on our website.
12. Domain Transfers
12.1 Transfer Restrictions
You agree that you will not transfer any domain name to another registrar:
- During the first sixty (60) days from its initial registration date, or
- During the first sixty (60) days from the effective date of a transfer to OrbitFour
These restrictions are required by ICANN policy to prevent fraudulent transfers and domain hijacking.
12.2 Transfer Authorization
Transfers require authorization codes and compliance with the Inter-Registrar Transfer Policy (IRTP). You are responsible for obtaining and providing accurate authorization codes for transfers.
13. Limitation of Liability
13.1 Limited Remedy
OrbitFour's entire liability to you under this Agreement, and your only remedy, in connection with any service provided by OrbitFour under this Agreement, and for any breach of this Agreement by OrbitFour, shall be limited to the fees you paid to OrbitFour for the particular service in contention during the twelve (12) months preceding the claim.
13.2 Disclaimer of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITFOUR AND ITS AGENTS, CONTRACTORS, REGISTRY OPERATORS, AND ICANN SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES RESULTING FROM:
- The use or inability to use any of OrbitFour's services
- The cost of obtaining substitute services
- Loss of data, profits, revenue, or business opportunities
- Domain name suspension, cancellation, or transfer
- Registry operator or ICANN actions
- Dispute resolution proceedings or outcomes
- Any other matter relating to domain name registration or services
13.3 Force Majeure
OrbitFour shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
14. Term and Termination
14.1 Term
This Agreement remains in full force and effect as long as you have any domain name registered through OrbitFour or maintain an active account with OrbitFour.
14.2 Termination by OrbitFour
OrbitFour may terminate this Agreement and/or suspend or cancel your domain name registration:
- For material breach of this Agreement
- For non-payment of fees
- As required by ICANN policies or registry policies
- As required by court order or applicable law
- For fraudulent or abusive conduct
- If your domain is being used for illegal activities or malicious purposes
14.3 Effect of Termination
Upon termination, you will lose all rights to your domain name(s), and the domain(s) may be released for registration by others. You will not be entitled to a refund of any fees paid.
15. General Provisions
15.1 Notices
Notices from OrbitFour to you may be posted on our website, sent to your registered email address, or delivered through your account dashboard. Notices are deemed delivered:
- Thirty (30) days after posting on our website
- Upon transmission of email
- Upon display in your account dashboard

15.2 Entire Agreement
This Agreement, together with our Website Terms of Use, Privacy Policy, and any applicable TLD-specific terms, constitutes the entire agreement between you and OrbitFour regarding domain name registration services and supersedes all prior agreements and understandings. The Website Terms of Use govern your general use of our website and services; with respect to domain name registration services specifically, this Agreement controls in the event of any conflict.
15.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.4 Waiver
No waiver of any term or condition of this Agreement shall be deemed a continuing waiver of such term or condition or any other term or condition.
15.5 Assignment
You may not assign or transfer this Agreement or any rights hereunder without OrbitFour's prior written consent. OrbitFour may assign this Agreement without restriction.
15.6 Survival
Sections 4 (Dispute Resolution, including the arbitration agreement and class action waiver), 6 (Third-Party Beneficiaries), 7 (Representations and Warranties), 8 (Indemnification), 13 (Limitation of Liability), and 15 (General Provisions) shall survive termination of this Agreement.
