These Prepaid Balance Terms ("Balance Terms") are supplemental terms that govern the OrbitFour prepaid account balance feature (also called "account deposit," "prepaid balance," or "balance"). They are offered by Vianames LLC, d/b/a OrbitFour ("OrbitFour," "we," "us"), a Michigan limited liability company and an ICANN-accredited domain registrar (IANA ID: 3873).
By adding funds to your prepaid balance or using your balance to pay for services, you agree to these Balance Terms.
1. Relationship to Our Other Agreements
These Balance Terms are part of, and incorporate by reference, your Domain Registration Agreement, our Website Terms of Use, and our Privacy Policy. Capitalized terms not defined here have the meaning given in those agreements. For matters specific to the prepaid balance feature, these Balance Terms control; for all other matters, your other agreements control. The disclaimer and limitation-of-liability provisions of those agreements apply to these Balance Terms and to your prepaid balance. All disputes relating to these Balance Terms or your prepaid balance are governed by Section 14 of the Website Terms of Use (Governing Law; Arbitration; Class Action Waiver), which is incorporated by reference and survives termination of these Balance Terms and of your relationship with OrbitFour.
2. What the Prepaid Balance Is
Your prepaid balance is a store of value, denominated in U.S. dollars only, that you fund in advance and that we apply toward eligible OrbitFour services on your account.
- The prepaid balance is a prepayment for future OrbitFour services. It is not a bank deposit, is not insured by the FDIC or any government agency, and earns no interest.
- The prepaid balance is not a gift card, gift certificate, or general-purpose payment instrument. It is redeemable only for OrbitFour services on your account and is not redeemable for cash except through the refund process in Section 8.
- All funds you add are credited dollar-for-dollar as principal. We do not offer deposit bonuses, promotional credits, or other added value, so your balance reflects only the funds you actually deposited, less amounts applied to purchases and refunds.
- Your balance is associated with your OrbitFour account and is non-transferable and non-assignable except as we expressly permit.
3. Eligibility
To add funds, your account must be active and in good standing. A suspended, restricted, or closed account cannot add funds. We may decline, limit, or condition access to the prepaid balance feature at our discretion.
4. Adding Funds (Deposits)
- How to deposit. You can add funds through the billing area of your account (using a payment card) or, for API customers, by calling our deposits API endpoint.
- Authorization to charge. When you initiate a deposit, you authorize us (and our payment processor) to charge the payment method you specify for the deposit amount, including charging a saved payment method on file on an unattended ("off-session") basis when you initiate a deposit through the API. You represent that you are authorized to use that payment method.
- When funds post. Deposited funds are credited to your balance once the underlying charge is successfully captured. If a deposit charge is declined, no funds are credited.
- No purchase of a specific service. A deposit does not purchase any specific service; it adds spendable funds you can apply later under Section 5.
5. Using Your Balance (Draw-Down)
- Eligible payments. You may apply your balance toward eligible U.S.-dollar purchases and renewals on your account, including domain registrations, renewals, and transfers, and paid API operations, in each case where the "pay with balance" option is available.
- U.S. dollars only. The balance can be used only for purchases priced in U.S. dollars. Purchases in any other currency cannot be paid from your balance and must be paid by another method.
- No split tender. Each order is paid either entirely from your balance or entirely by another payment method — the balance is not combined with a card on the same order. If your balance is not sufficient to cover the full order at checkout, the entire order will be charged to your payment card instead.
- Payment order. Where you have a sufficient U.S.-dollar balance, we may apply your balance before charging a payment card, subject to any payment-priority settings we make available and to the terms of specific features (for example, automatic renewal).
- Automatic renewal. If you have automatic renewal enabled, we will use your prepaid balance first when it is sufficient to cover the renewal, and otherwise charge your payment card on file. You remain responsible for maintaining a valid payment method; see your Domain Registration Agreement for renewal and expiration terms.
- Pricing. Services are charged at the prices in effect at the time of the purchase or renewal. Holding a balance does not lock in any price, discount, or currency conversion.
- No negative balance. Your balance will not go below zero. If an amount is owed that your balance cannot cover, we will charge your payment card or invoice you as applicable.
6. Refunds and Reversals of Balance-Paid Orders
If an order you paid from your balance is later cancelled, reversed, or refunded (for example, because a registration could not be completed), the corresponding amount is credited back to your prepaid balance, not to your payment card. This is different from orders paid by card, which are refunded to the card. Amounts credited back to your balance are governed by these Balance Terms, including the refund process in Section 8.
7. No Expiration; Dormancy and Unclaimed Property
Your prepaid balance does not expire. However, if your balance remains unused and your account remains inactive for the period specified by applicable unclaimed-property ("escheat") law, we may be required by law to report and remit the unused funds to the appropriate U.S. state. Before doing so, we will attempt to contact you using the contact information on your account. Unclaimed-property laws vary by state, and remittance to a state does not necessarily extinguish your right to claim the funds from that state afterward.
8. Refund of Unused Funds
- How to request. You may request a refund of your unused balance by contacting us at [email protected]. Refunds of unused funds are processed by OrbitFour.
- Amount. A refund cannot exceed your current available balance at the time the refund is processed, and is limited to the principal remaining in your account.
- Method. We refund to the original payment method(s) used for your deposit(s) where reasonably possible. If an original payment method is closed, expired, or otherwise unavailable, we will issue the refund by check to the address on your account, and may require you to confirm or update your mailing address before we do so.
- Offsets and holds. We may deduct or withhold amounts you owe us, and may decline, delay, or limit a refund where we reasonably suspect fraud, an unresolved payment dispute or chargeback, or a violation of law or of our agreements, or where required by law.
- Processing time. Refunds are processed within a reasonable period after we verify the request.
9. Taxes
Adding funds to your prepaid balance is generally not itself a taxable sale. Any applicable taxes, levies, or regulatory fees are assessed when you purchase a service, based on the service and the information on your account at that time. You are responsible for any such taxes and fees.
10. Chargebacks, Fraud, and Account Actions
- Disputes and chargebacks. If you initiate a chargeback or payment dispute on a deposit, we may suspend your account and access to the balance feature, reverse or hold the disputed funds, and offset amounts against your balance. Initiating a chargeback on funds you have already spent on delivered services may be treated as a breach of your agreements.
- Fraud and misuse. We may refuse, hold, reverse, or refund any deposit, and may suspend or remove the balance feature, where we reasonably suspect fraud, unauthorized use of a payment method, money laundering, or a violation of law or of our agreements.
- Effect of suspension, closure, or termination. If your account is suspended, closed, or terminated, we may hold your balance during any investigation. Subject to Section 8 and to any amounts you owe us, we will make your remaining principal balance available for refund.
11. Account Statements
Your deposit, purchase, refund, and adjustment history is available in the billing area of your account (and, for API customers, through the ledger API). You should review your statement periodically and notify us promptly of any discrepancy.
12. Changes to These Terms
We may modify these Balance Terms from time to time. We will post the updated Balance Terms with a new "Last Updated" date and, for material changes, provide additional notice. Your continued use of the prepaid balance feature after changes take effect constitutes acceptance of the updated Balance Terms.
